Nebraska Business Entity Search and Name Availability: Free Lookup, Written Inquiry by Email and the 120 Day $30 Reservation

Before you file anything, you need to know whether your name is free in Nebraska. The Nebraska Secretary of State business search is free and covers most of the records you need for a first check. What it does not do is approve a name. For that, you send a written inquiry to Business Services, and if you need time to file, you reserve the name for $30.

This guide covers the free Nebraska business entity search, how name rules work, how to send a written availability inquiry, and how the 120 day reservation fits into the process. This is informational content, not legal or tax advice. Entity names and entity choice are hard to undo, so talk with a qualified attorney or CPA before you spend money on signage, a website or a filing.

What the Free Nebraska Business Entity Search Covers

The Secretary of State’s Corporate and Business Search costs nothing to use. It covers:

  • Business entities, including LLCs and corporations
  • Trade names (DBAs)
  • Trademarks and service marks

Treat it as your first check, not your last. Search the exact name you want, then search close variations: with and without “LLC,” with “Limited Company” spelled out, and with obvious spelling changes. The state applies a “deceptively similar” test, so a name that looks different on the screen but sounds or reads the same can still block your filing.

Nebraska LLC Search and Nebraska Corporation Search

LLCs and corporations are searched through the same tool, so a nebraska llc search and a nebraska corporation search are one step. Run it before you draft your paperwork. The formation document for an LLC is the Certificate of Organization. For a corporation, it is the Articles of Incorporation, which has no state-issued form, so you draft it yourself. Filed online, either one costs $100 ($110 in office).

If the search returns a matching record, confirm its status with Business Services before you assume the name is open. Do not treat an empty search result as final approval either. Only a submitted filing, reviewed by the Secretary of State, produces approval.

Nebraska Business Name Rules You Must Meet

For LLCs, Neb. Rev. Stat. 21-108 sets the core rules:

  • The name must include “limited liability company” or “limited company,” or one of the abbreviations L.L.C., LLC, L.C. or LC.
  • “Limited” may be abbreviated as Ltd., and “company” may be abbreviated as Co.
  • The name may not be the same as, or deceptively similar to, any name already on record, unless the prior owner consents in a signed record or a court judgment establishes the right to use it.
  • Extra restrictions apply to words such as bank, trust, engineer, architect, land surveyor, cooperative, geologist, Olympic and barber.

Each restricted word carries its own conditions. If your business name includes one, ask Business Services how it applies before you build a brand around it.

Written Name Availability Inquiries: Email, Fax or Mail

Name availability inquiries must be in writing. Use one of these channels:

The answer you receive is a courtesy, not a guarantee. Final approval comes only when your filing is submitted. Keep your inquiry short and specific. A workable example:

To: [email protected]
Subject: Name availability inquiry: [Proposed Name] LLC
Please confirm whether [Proposed Name] LLC is available for a Certificate of Organization in Nebraska under Neb. Rev. Stat. 21-108. My name is [Name]. My phone number and mailing address are [details]. Thank you.

Save the written reply with your records. It is the only documented answer you have before filing.

The $30, 120 Day Name Reservation

If you need time to finish your organizing documents, reserve the name. A name reservation costs $30 and lasts 120 days. You request it in writing and send the $30 fee with the Secretary of State reservation form for LLC names, which is a PDF. The form is not tied to the eDelivery portal, so do not look for an online reservation button there. Download the form at the Secretary of State LLC name reservation form, complete it, and submit it as the form directs.

A reservation holds the name while you prepare. It does not replace the filing, and you still need to file within the 120 days to keep the protection of the reservation.

Using a Similar Name With Consent

If a similar name is already on record, the prior owner can consent to your use in a signed record. Consent has no filing fee. Get the signed consent before you file, keep the original, and ask Business Services how it should be submitted with your paperwork. Without consent or a court judgment, expect a rejection.

Upcoming Change: Online Name Checks and Trade Name Renewals

The Secretary of State plans to launch online name availability checks and trade name renewals in its new system on December 7, 2026. Until that system is live, use the free search and the written inquiry route described above. Confirm the launch date and any changes on the Secretary of State website before you plan around them.

Trade Names (DBAs) and Your Search

If you will operate under a name that is not your LLC or corporation name, register a trade name with the Secretary of State. Trade names are registered statewide, not county by county, and they last 10 years. The fees are:

  • $100 when filed online through eDelivery
  • $110 filed in office or by mail
  • $110 to renew

A separate newspaper publication is required. The affidavit or proof of publication carries no fee, but the newspaper will charge for the notice itself, so ask for a quote. Use the Application for Registration of Trade Name. Search trade names in the same free tool before you file.

Publication Requirement for New LLCs and Corporations

New LLCs and corporations must publish a notice in a legal newspaper for three successive weeks, then file proof of publication with the Secretary of State. Build this into your timeline, since a name you reserved for 120 days still needs the publication step to finish your formation.

Other Nebraska Registrations: There Is No General Business License

Nebraska has no general state business license and no county business license. Registration depends on what you do:

  • Department of Revenue: a Nebraska ID for a sales and use tax permit if you make retail sales, rent or lease tangible personal property, or provide taxable services, and an income tax withholding certificate if you have employees. Start at revenue.nebraska.gov.
  • Department of Labor: unemployment tax and contractor registration.
  • Secretary of State: entities, trade names and trademarks.

Occupational licensing is handled by agency or trade:

  • The State Electrical Division licenses electricians.
  • Plumbers are licensed by the city or village nearest the job.
  • The Department of Agriculture permits food and pesticide applicators.
  • DHHS licenses health professions and child care.
  • The Public Service Commission regulates only passenger carriers and household goods movers.
  • The Liquor Control Commission works with the city or county that grants retail licenses.

At the local level, expect city sales taxes, city occupation taxes, and city and county zoning. Nebraska has 93 counties and 528 municipalities (cities and villages), so local rules depend on where you operate. Check with your city or village clerk and your county before you sign a lease.

Keeping Your Entity on the Record: Registered Agent and Biennial Reports

Nebraska calls your agent for legal papers the registered agent. Every LLC must designate and continuously maintain a Nebraska office and an agent for service of process under Neb. Rev. Stat. 21-113. The agent must be an individual who resides in Nebraska, or another person or entity authorized to transact business in the state, and the agent’s office must match the registered office. If your agent drops off the record, the company can be administratively dissolved. Changing the agent or office costs $25 online or $30 on paper.

Recurring filings matter for search results too, because a record that falls out of good standing is one you will need to explain to a lender or buyer:

EntityBiennial report dueDelinquent afterFee
LLCJanuary 1 to April 1, odd-numbered yearsJune 16 (administrative dissolution follows)$25 electronic, $30 on paper
CorporationMarch 1, even-numbered yearsApril 15$26 minimum occupation tax; rises with paid-up capital stock. Check with the Secretary of State for your figure.
