Business formation paperwork on a desk, Nebraska LLC Cost in 2026

Nebraska LLC Cost in 2026: $100 Online or $110 on Paper, Plus Newspaper Publication and the $25 Proof Filing

If you want to know how much an LLC costs in Nebraska, the state filing fee is the easy part. The Certificate of Organization costs $100 if you file electronically or $110 on paper. The harder part is publication. Every new Nebraska LLC must publish a notice of organization in a legal newspaper for three successive weeks, then file proof of publication with the Secretary of State. That proof filing costs $25 online or $30 on paper. The newspaper's own charge is separate, and the state does not set it, so you need a quote before you can budget accurately.

This guide covers every Nebraska LLC fee we have verified, shows what a realistic first-year total looks like, and points out the costs that catch new owners off guard. This article is informational, not legal or tax advice. If your ownership, tax election, or formation structure is complicated, talk to a qualified attorney or CPA.

Certificate of Organization: $100 Online or $110 on Paper

The formation document for an LLC is the Certificate of Organization, filed under Neb. Rev. Stat. 21-192. You can file through the Secretary of State's eDelivery portal at https://www.nebraska.gov/apps-sos-edocs/, or you can mail a paper filing to Business Services in Lincoln. Electronic filing saves you $10 in state fees, but the portal adds a card processing charge of at least $2.00 per transaction, so the savings are smaller than the sticker difference suggests.

Nebraska does not publish a standard processing time. Staff review each document before filing, and the state does not offer expedited or same-day service for business entity filings. Plan for uncertainty in your launch date, and do not sign a lease or sign contracts in the LLC's name until you have a filed certificate in hand.

The Secretary of State expects a new online filing system before the end of 2026, so the steps above may change. Check the official page at sos.nebraska.gov/business-services/corporate-and-business before you file.

Name Rules That Affect Your Filing

Under Neb. Rev. Stat. 21-108, your name must include the words limited liability company or limited company, or an abbreviation such as LLC, L.L.C., LC, or L.C. You can abbreviate limited as Ltd. and company as Co. The name cannot be the same as or deceptively similar to a name already on record unless the prior owner consents in a signed record or a court judgment grants the right to use it. Words such as bank, trust, engineer, architect, land surveyor, cooperative, geologist, Olympic, and barber carry extra restrictions. Search the state database at the Secretary of State business search before you pay for anything.

The Newspaper Publication Requirement

New Nebraska LLCs must publish a notice of organization for three successive weeks in a legal newspaper near the company's designated office. This is the cost most first-time owners underestimate, because the state fee is small and the newspaper rate is not.

Newspaper charges are set by each paper. Rates vary by publication, by the length of the notice, and by how the paper prices legal notices. Call two or three papers near your designated office and ask for a written quote covering three consecutive weeks. Ask them to confirm the publication dates, the format they will use, and what documentation they will provide for your filing. The Secretary of State does not publish a dollar range for this step, and this article does not give one.

Proof of Publication Filing: $25 Online or $30 on Paper

After the notice runs, you must file proof of publication with the Secretary of State. The fee is $25 through eDelivery or $30 on paper, under Neb. Rev. Stat. 21-193. As with the formation filing, the online route adds the card processing charge.

Confirm the sequence of filings with the Secretary of State before you start. Ask the newspaper to send proof in the form the state will accept, and keep a copy of everything you file. Do not treat this step as optional, because it is a condition of completing the LLC's publication requirement.

Name Reservation: $30 for 120 Days

If you need time to finish your operating agreement, lease, or bank paperwork before you form the company, you can reserve your name for 120 days for $30. The reservation application is available as a PDF at the Secretary of State LLC reservation form. The reservation is optional, so only pay for it if you cannot file the certificate promptly.

Ongoing Costs: The Biennial Report and Your Registered Agent

The recurring LLC filing is the biennial report, and LLCs file it in odd-numbered years. The filing window runs from January 1 to April 1. The fee is $25 electronically or $30 on paper. If the report is not filed, the LLC becomes delinquent after June 16 and can be administratively dissolved. The next window for LLCs is January 1 to April 1, 2027.

Every Nebraska LLC must also maintain a registered agent. In Nebraska, this role is called the registered agent, and it is required under Neb. Rev. Stat. 21-113. The agent must be an individual who lives in Nebraska, or a business entity authorized to transact business in the state. The agent's office must match the company's registered office. If the agent resigns or the office closes and you do not replace it, the LLC risks administrative dissolution.

The state does not set the price of a commercial registered agent service. Providers charge different amounts, so get quotes before choosing one. If you change your agent or office later, the statement of change costs $25 online or $30 on paper.

Trade Names: $100 Online or $110 in Office, Plus Publication

If your LLC will operate under a name other than its registered legal name, you must register a trade name with the Secretary of State. The statewide registration costs $100 online through eDelivery or $110 in office or by mail. Trade name registrations last 10 years, and renewal costs $110. A separate newspaper publication is required, and the affidavit of publication has no state fee, but the newspaper will still charge you. Use the Application for Registration of Trade Name to file.

Costs Outside the Secretary of State

Nebraska has no general state business license and no county business license. Registration depends on what your business does, and the costs below are separate from your LLC filing. Where the fee is not in our verified figures, confirm it with the agency named.

  • Sales and use tax permit. You need one if you make retail sales, rent or lease tangible personal property, or provide taxable services. The state sales tax rate is 5.5%. Register through the Department of Revenue online registration, and confirm the permit fee with the department at revenue.nebraska.gov.
  • Income tax withholding certificate. You need this if you have employees. Confirm the fee and filing steps with the Department of Revenue.
  • Unemployment tax and contractor registration. These are handled by the Nebraska Department of Labor. Check with the department for current fees and requirements.
  • Occupational licenses. Licensing follows the trade. The State Electrical Division licenses electricians. Plumbers are licensed by the city or village nearest the job. The Department of Agriculture permits food and pesticide applicators. DHHS licenses health professions and child care. The Public Service Commission regulates only passenger carriers and household goods movers. The Liquor Control Commission works with the city or county that grants retail liquor licenses. Confirm each fee with the relevant agency.
  • Local taxes and zoning. Some cities impose their own sales taxes and occupation taxes, and city or county zoning applies to where you can operate. Nebraska has 93 counties and 528 cities and villages, so local rules vary. Check with your city or county clerk before you sign a lease.

Tax Note for LLC Owners

The Secretary of State charges no franchise tax or occupation tax on LLCs, but the company's income tax treatment matters. An LLC taxed as a pass-through reports income on its members' Nebraska individual returns, which carry 2026 rates of 2.46% to 4.55%. An LLC taxed as a corporation pays the 4.55% Nebraska corporate income tax for tax years beginning on or after January 1, 2026. Choosing a tax classification is a decision to make with a CPA, not one to make from a fee schedule.

Realistic First-Year Budget

Most Nebraska LLCs will pay one of the following combinations of state fees before any newspaper charge:

  • Online formation, no reservation: $100 for the certificate plus $25 for proof of publication, or $125. Add at least $2.00 in card processing for each online filing, which brings the state total to at least $129.
  • Paper formation, no reservation: $110 for the certificate plus $30 for proof of publication, or $140.
  • Add-ons: $30 if you reserve the name first. $100 or $110 for each trade name, plus its newspaper publication.

Add the newspaper's quoted charge to any of these totals. That figure is the largest unknown in your budget, so get it in writing before you file.

Steps to Keep Your Costs Predictable

  1. Search the name in the Secretary of State business search before you pay for anything.
  2. Decide whether you need a $30 name reservation for 120 days.
  3. Get written newspaper quotes for three consecutive weeks of publication.
  4. File the Certificate of Organization online through eDelivery to save $10 in state fees.
  5. Publish the notice for three successive weeks in the designated newspaper.
  6. File proof of publication for $25 online or $30 on paper.
  7. Calendar the biennial report window of January 1 to April 1 in odd-numbered years, with the $25 online fee.
